Terms of Service

1. Acceptance of Terms
By accessing or using IacuWise ("Service"), operated by IacuWise, LLC, a Delaware limited liability company, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
IacuWise is a SaaS platform that helps users get better results from AI on the first try by optimizing their prompts for ChatGPT, Claude, Gemini, and other models. The Service is provided "as is" and "as available."
3. Accounts
You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must be at least 13 years old to use the Service. One person or entity may not maintain more than one free account.
4. Free and Paid Plans
The Service offers a free tier (3 optimizations per day) and a Pro subscription with 50 optimizations per day. Pro is available as a monthly plan ($3.99 per month) or an annual plan ($40 per year, paid in advance). The monthly plan starts with a 15-day free trial. A payment card is required to start the trial, and you will not be charged during it. If you do not cancel before the trial ends, your subscription starts automatically and the card is charged $3.99 per month until you cancel. The annual plan does not include a free trial. Payments are processed by Stripe. You may cancel at any time through your account settings; cancellation takes effect at the end of the current billing period, and you keep Pro access until then. Except where required by law, no refunds are provided for partial months or for the unused part of an annual plan. The Service also sells one-off credit packs ($5 for 50 optimizations). A pack is a single payment that never renews; its credits are used only after the daily optimizations of your plan run out, and they expire 12 months after purchase. Within 30 days of buying a pack, you may request a refund of its unused credits from the Pricing page; the unused part is refunded to the original payment method, calculated in proportion to the credits not used and rounded down to the cent. Credits already used, and packs bought more than 30 days earlier, are not refundable except where required by law.
5. Acceptable Use
You agree not to: use the Service to generate harmful, illegal, or abusive content; attempt to reverse-engineer, exploit, or overload the Service; share your account credentials with others; use automated tools to access the Service beyond normal usage; resell or redistribute the Service without written permission.
6. Intellectual Property
The IacuWise name, logo, and Service design are the property of IacuWise, LLC. Your original prompts remain your property. Optimized prompts generated by the Service are licensed to you for personal or commercial use. We retain the right to use anonymized, aggregated data to improve our algorithms.
7. Third-Party Services
The Service uses third-party APIs (including Anthropic Claude) to process prompts. We are not responsible for the availability, accuracy, or policies of third-party services. Your use of the Service is also subject to the terms of these third-party providers.
8. Limitation of Liability
To the maximum extent permitted by law, IacuWise, LLC and its members, officers, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of the Service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
9. Disclaimer of Warranties
The Service is provided "as is" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.
10. Termination
We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. Upon termination, your right to use the Service ceases immediately. Sections 6, 8, 9, and 11 survive termination.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
12. Changes to Terms
We may update these Terms from time to time. We will notify registered users of material changes via email at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance of the new Terms.
